I, the undersigned, being a Member of the LLP, entitled to receive notice of and to attend of and to attend and vote at Members' Meetings pursuant to Chapter 2 of Part 13 of Companies Act 2006, hereby pass the following Written Resolutions, which for all purposes shall be as valid and effective as if the same had been passed at a Members' Meeting of the LLP duly convened and held.

"That the LLP be wound up voluntarily, and that Stephen Lancaster (IP No. 13910) of Lucas Ross Limited, Stanmore House, 64-68 Blackburn Street, Radcliffe, Manchester, M26 2JS be appointed Liquidator of the LLP for the purpose of the voluntary winding-up."
