At a General Meeting of the above-named Company duly convened and held on 30 April 2025 the following resolutions were duly passed as a special resolution and as ordinary resolutions:

That it has been proved to the satisfaction of this meeting that the Company cannot, by reason of its liabilities, continue its business and that it is advisable to wind up the same and that accordingly the Company be wound up voluntarily and that James Neill (IP No. 12810) and John Donaldson (IP No. 25132) both of KPMG, The Soloist Building, 1 Lanyon Place, Belfast, BT1 3LP be appointed Joint Liquidators of the Company for the purposes of the winding-up and that any act required or authorised under any enactment to be done by the Joint Liquidators in accordance with the Insolvency (England & Wales) Rules 2016 be done by both or any one of them.”
