NOTICE IS GIVEN pursuant to Rule 15.13 of the Insolvency (England & Wales) Rules 2016 that a virtual meeting of the creditors of the above named company will be held on 28 November 2024 at 11.00am. Any creditor entitled to attend and vote at this meeting is entitled to do so either in person or by proxy. Creditors wishing to vote at the meeting must (unless they are individual creditors attending in person) lodge their proxy with the convener before they may be used at the meeting. Creditors who wish to attend the virtual meeting, which is to be held by conference call, should contact this office at least one business day prior to the meeting when you will be provided with the necessary telephone number and access code to enable you to join the meeting. Unless there are exceptional circumstances, a creditor will not be entitled to vote unless his written statement of claim ('proof'), which clearly sets out the name and address of the creditor and the amount claimed, has been lodged and admitted for voting purposes. Proofs must be delivered by 4pm the business day before the meeting. Unless they surrender their security, secured creditors must give particulars of their security, the date when it was given and the estimated value at which it is assessed if they wish to vote at the meeting. The purpose of the meeting is to convert the Members’ Voluntary Liquidation to a Creditors’ Voluntary Liquidation in accordance with S95 of the Insolvency Act 1986 and for the appointment of Michael Solomons of Moorfields Advisory, 82 St John Street, EC1M 4JN and Paul Atkinson of FRP Advisory, Jupiter House, Warley Hill Business Park, The Drive, Brentwood, CM13 3BE as Joint Liquidators. If the above nomination for the appointment of Joint Liquidators is not agreed and if no other person is nominated by creditors, then the existing Liquidators will be the Liquidators in the Creditors’ Voluntary winding up. Resolutions to be taken at the meeting may include a resolution specifying the terms on which the liquidators are to be remunerated, and the meeting may receive information about, or be called upon to approve the costs of preparing the statement of affairs and convening the meeting.
