At a General Meeting of the Members of the above-named Company, duly convened, and held on 10 May 2024, the following Resolutions were duly passed, as a Special Resolution and as an Ordinary Resolution:

That the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily.

That Jeremy P Oddie of Lines Henry Ltd, 5 Tabley Court, Victoria Street, Altrincham, Cheshire, WA14 1EZ and Patrick Lannagan of Mazars LLP, One St Peters Square, Manchester, M2 3DE, be hereby appointed as Joint Liquidators of the Company for the purpose of the voluntary winding up and that the Joint Liquidators are licensed by the Insolvency Practitioners Association in the United Kingdom.

At a virtual meeting held by creditors on 10 May 2024, the appointment of Jeremy P Oddie and Patrick Lannagan as Joint Liquidators was confirmed by the creditors.
