Pursuant to section 719 of the Companies Act 2006, Growpura Limited (the “Company”) hereby gives notice that:

• The Company has approved, by special resolution passed on 6th August 2021, a payment out of capital for the purpose of acquiring 66,500 of its own ordinary shares of £1.00 each by purchase.

• The amount of the permissible capital payment (as defined in section 710 of the Companies Act 2006) for the shares in question is £369,000.

• The directors’ statement and auditor’s report required by section 714 of the Companies Act 2006 are available for inspection at the Company’s registered office at Chandler House 7 Ferry Road Office Park, Riversway, Preston, Lancashire, England, PR2 2YH.

• Any creditor of the Company may at any time within the five weeks immediately following the date of the resolution approving the payment out of capital apply to the court under section 721 of the Companies Act 2006 for an order preventing the payment out of capital.
