In the Matter of VIRGIN MONEY PLC AND CLYDESDALE BANK PLC

Notice is hereby given that on 11 June 2019 a Petition was presented to the Court of Session in Scotland (the "Court") by Virgin Money plc ("Virgin Money") and Clydesdale Bank PLC ("Clydesdale") for an order, under Part VII of the Financial Services and Markets Act 2000, sanctioning a banking business transfer scheme (the "Scheme"), which is to provide for the transfer to Clydesdale of the business of Virgin Money.

Copies of a document setting out the full terms of the Scheme, a summary of the Scheme's principal terms and a FAQs leaflet in connection with the Scheme will be sent, free of charge, to any person who requests any of them by calling 0800 917 5722 or +44 (0)191 279 3465, if calling from outside of the UK between 9am and 7pm, Monday to Friday, and 9am and 3pm on Saturdays, or in writing by email to virginmerging@virginmoney.com or by post to FSMA Contact Centre, Virgin Money, Jubilee House, Gosforth, Newcastle upon Tyne, NE3 4PL. Copies of each of those documents are also available, free of charge, on the website of Virgin Money at virginmoney.com/virginmerging.

In accordance with the Financial Services and Markets Act 2000 (Control of Business Transfer) (Requirements on Applicants) Regulations 2001, Virgin Money and Clydesdale will publish a series of notices in relation to the Petition. These are expected to be published in The London Gazette, The Edinburgh Gazette, The Belfast Gazette, The Herald and The Times (Scottish and English editions).

Any person who thinks that they would be adversely affected by the Scheme may lodge formal written objections (known as "Answers") to the Petition with the Court at Parliament House, Parliament Square, Edinburgh, EH1 1RQ, which should be done within 56 days of the date of publication of the last of these notices, which is expected to be on or around 21 June 2019. Any such person may wish to seek independent legal advice. In addition, Answers must be accompanied by a fee to the Court.

In accordance with its practice, the Court will also consider any other objections to the Scheme, which are made to it in writing, or in person, at the hearing to consider sanctioning the Scheme, which is expected to be on 26 September 2019.

It would assist the process if anyone wishing to object in person at the hearing could inform Virgin Money in writing by email to virginmerging@virginmoney.com or by post to FSMA Contact Centre, Virgin Money, Jubilee House, Gosforth, Newcastle upon Tyne, NE3 4PL as soon as possible and preferably before 13 September 2019, setting out the reason why they believe they would be adversely affected by the Scheme.

Any person who believes that they would be adversely affected by the Scheme, but does not intend to attend the hearing, may instead send a written statement of their views about the Scheme to the Court (by post or by hand to Parliament House, Parliament Square, Edinburgh, EH1 1RQ) or to Virgin Money by email to virginmerging@virginmoney.com or by post to FSMA Contact Centre, Virgin Money, Jubilee House, Gosforth, Newcastle upon Tyne, NE3 4PL as soon as possible and preferably before 13 September 2019, setting out why they believe they would be adversely affected.

This notice is given pursuant to Regulation 5(2) of the Financial Services and Markets Act 2000 (Control of Business Transfers) (Requirements on Applicants) Regulations 2001 and has been approved by the Prudential Regulation Authority.
