By a Written Resolution of the member of the above named Company the subjoined resolutions were passed on 21 December 2018, viz:

Special Resolutions

1. THAT the Company be wound-up voluntarily and Edward Kerr of BDO LLP, Two Snowhill, Snow Hill, Queensway, Birmingham B4 6GA and Malcolm Cohen of BDO LLP, 55 Baker Street, London W1U 7EU, be and are appointed Joint Liquidators for the purposes of such winding up and are to act jointly and severally.

2. THAT the Joint Liquidators be authorised to distribute all or part of the assets in specie to the shareholders in such proportion as they mutually agree.

Ordinary Resolutions

1. THAT the Joint Liquidators' fees be approved on a time costs basis plus VAT and disbursements, to be drawn from the funds held in the liquidation.
