At a general meeting of the Member of the above-named Company, duly convened, and held at Lanyon Bowdier Solicitors, Hazledine House Central Square, Town Centre, Telford, TF3 4JL on 11 October 2018 at 10:15am, the following resolutions were passed: 1 and 3 as Extraordinary resolutions and 2, 4 and 5 as Ordinary resolutions.

Resolutions

1. "That the Company be wound up voluntarily" and

2. "That Jeremy Charles Frost (IP No. 9091) of Frost Group Limited, Airport House, Purley Way, Croydon CR0 0XZ be appointed Liquidator of the Company and that he be authorised to act separately" and

3. "That the Liquidator be authorised to distribute any of the Company's assets in specie"

and

4. "That the Liquidator's remuneration be charged at a fixed fee of £850 plus disbursements and VAT on the basis that it qualifies as a Bronze Service MVL. In the event that the Company ceases to qualify as a Bronze Service MVL the Liquidator's fees will be charged by reference to the time properly spent by him and his staff in dealing with the matters relating to the liquidation of the Company, plus disbursements and VAT. The Liquidator's time will be charged at the hourly charge out rate of the grade of staff undertaking the work at the time the work is undertaken" and

5. "That the Liquidator be authorised to recover Category 2 expenses in accordance with his recovery policy disclosed to the member."
