NOTICE IS HEREBY GIVEN that, on 4 December 2017, an application was presented to the High Court of Justice of England and Wales (the “Court”) by Lloyds Bank plc (“Lloyds Bank”) (incorporated in England and Wales and with its registered office at 25 Gresham Street, London EC2V 7HN, United Kingdom), Bank of Scotland plc (“Bank of Scotland”) (registered in Scotland and with its registered office at The Mound, Edinburgh EH1 1YZ, Scotland) and Lloyds Bank Corporate Markets plc (“Lloyds Bank Corporate Markets”) (incorporated in England and Wales and with its registered office at 25 Gresham Street, London EC2V 7HN, United Kingdom) for an order of the Court, under Part VII of the Financial Services and Markets Act 2000, sanctioning a ring-fencing transfer scheme (the “Scheme”) for the transfer of the Transferring Business (as defined in the Scheme) of Lloyds Bank and Bank of Scotland to Lloyds Bank Corporate Markets.

The application for sanction is currently scheduled to be heard on 27 March 2018 at the Business and Property Courts of England and Wales, Rolls Building, 7 Rolls Buildings, Fetter Lane, London EC4A 1NL. Any change to the hearing date will be published at lloydsbankinggroup.com/ringfencing.

The Transferring Business comprises certain derivative, lending, and trade finance transactions and other financing arrangements. The Scheme will also operate to, among other things, duplicate certain master agreements relating to derivatives, including certain ISDA master agreements. Such business will include applicable third party guarantees and other forms of security which will therefore be transferred or otherwise affected by the Scheme.

Copies of a statement setting out the terms of the Scheme, a summary of certain of its principal terms, a report of the skilled person relating to the Scheme (the “Scheme Report”), a summary of the Scheme Report, a summary of the key terms of the security trust created in connection with the Scheme, a summary of key financial information in respect of Lloyds Bank Corporate Markets and certain orders and judgments given by the Court in relation to the Scheme are available, free of charge, at lloydsbankinggroup.com/ringfencing, or by requesting those documents in any of our branches or by contacting your usual contact (including by phone on the number you usually use for Lloyds Bank or Bank of Scotland). The effective date of the Scheme is currently expected to be 28 May 2018, or such other date as Lloyds Bank, Bank of Scotland and Lloyds Bank Corporate Markets may agree in writing, subject to Court sanction. Any changes to this date will be communicated on our website referred to above, so please do check this regularly.

Any person who alleges that they would be adversely affected by the carrying out of the Scheme is entitled to be heard at the application for sanction provided that they have before the hearing filed with the Court a written statement of the representations that they wish the Court to consider and served copies on the Prudential Regulation Authority (the “PRA”) as explained below. The Court has directed that such representations be filed and served by 28 February 2018. The Court may exercise its powers to restrict the manner and time in which any person who has filed and served such representations after 28 February 2018 is heard.

The written statement of representations may be filed with the Court either by sending it or delivering it to the Business and Property Courts of England and Wales, 7 Rolls Building, Fetter Lane, London EC4A 1NL (marked “FAO Lloyds Banking Group Ring-Fencing Transfer Scheme”) or by using the CE-File Website (with guidance on the use of this facility being available at https://www.gov.uk/guidance/ce-file-system-information-and-support-advice).

Lloyds Bank and Bank of Scotland do not require copies of the statement to be served on them.
