At a General Meeting of the Company, duly convened, and held at Ground Floor, Meridien House, 69-71 Clarendon Road, Watford, WD17 1DS on 11 February 2016, the following resolutions were passed, No 1 as a special resolution and No 2 as an Ordinary Resolution:

1. That the Company be wound up voluntarily;

2. That Carl Jackson and Nicholas Simmonds, Licensed Insolvency Practitioners, be appointed Joint Liquidators of the Company and that they be authorised to act jointly and severally.
