At a General Meeting of the above named Company convened and held at the offices of Grant Thornton UK LLP, Chartered Accountants of Water’s Edge, Clarendon Dock, Belfast BT1 3BH on 27 February 2015, the following resolutions were duly passed. No.1 as a Special Resolution and No.2 as an Ordinary Resolution:

1. That it has been proved to the satisfaction of the meeting that the Company cannot, by reason of its liabilities, continue its business and that the company be wound up voluntarily.

2. That Stephen Tennant of Grant Thornton, 24-26 City Quay, Dublin 2 be appointed as liquidator for the purposes of the voluntary winding up.
