Pursuant to Chapter 2 of Part 13 of the Companies Act 2006 the director of the Company in accordance with Section 288(3)(a) of the Act propose that the following resolutions are passed and circulated on 15 January 2015, by the member of the Company as Special and Ordinary Resolutions as designated (the “Resolutions”):-

“That pursuant to section 84(1)(b) of the Insolvency Act 1986 the Company be wound up voluntarily and that pursuant to Sections 84(1) and 91 of the Insolvency Act 1986 Ruth Ellen Duncan and Filippa Connor, both of RNF Business Advisory Limited, Kent House, Romney Place, Maidstone, Kent, ME15 6LH, (IP Nos 9246 and 9188) be appointed Liquidator of the Company for the purposes of winding up the Company’s affairs and distributing its assets.”
