At a General Meeting of the members of the above-named company, duly convened and held at Griffins, Tavistock House South, Tavistock Square, London WC1H 9LG on 18 July 2008 the following resolutions were duly passed; No 1 as a special resolution and No 2 as an ordinary resolution:-

1 “That it has been proved to the satisfaction of this meeting that the company cannot by reason if its liabilities continue its business and that it is advisable to wind-up the same and accordingly that the company be wound up voluntarily”

2. “That Kevin Goldfarb be, and he is hereby appointed Liquidator for the purposes of such winding up”.
