At an Extraordinary General Meeting of the above-named Company, duly convened, and held at Town Quay House, 7 Town Quay, Southampton, on 21st December 1999, at 11.30 a.m., the following Resolutions were duly passed, as a Special Resolution and as an Ordinary Resolution respectively: “That the Company be wound up voluntarily, and that Peter Leonard Thurston and Kenneth Stephen Chalk, of Queen Anne House, 69-71 Queen Square, Bristol BS1 4JP, be and they are hereby appointed Joint Liquidators of the Company for the purpose of such winding-up and that either of Peter Leonard Thurston or Kenneth Stephen Chalk shall have the power to act alone in the winding-up for the purpose of executing and signing all documents and deeds.” Chairman
