At an Extra-Ordinary General Meeting of the above-named Company, duly convened, and held within the offices of PKF (UK) LLP, 78 Carlton Place, Glasgow G5 9TH, on 30 March 2011, the subjoined Special Resolution was duly passed:

RESOLUTION

1. “That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities continue its business and that the Company be wound up voluntarily.”

2. “That Anne Buchanan and Bryan A Jackson, both of PKF (UK) LLP, 78 Carlton Place, Glasgow G5 9TH, be appointed Joint Liquidators of the Company and are empowered to act jointly and severally in all matters.”
