Notice is hereby given that, pursuant to section 10 of the Limited Partnerships Act 1907, on 14 February 2011, Massachusetts Mutual Life Insurance Company transferred to MML Private Equity Fund Investor LLC all of the interest held by it in the Partnership (represented by a capital contribution of €15) to MML Private Equity Fund Investor LLC and that with effect from 14 February 2011 Massachusetts Mutual Life Insurance Company ceased to be a limited partner and MML Private Equity Fund Investor LLC became a limited partner in the Partnership.
