Babcock & Brown European Infrastructure Fund L.P.

Notice is hereby given, pursuant to section 10 of the Limited Partnerships Act 1907, that Babcock & Brown Investment Holdings Pty Ltd ((ACN 110 013 851) of Level 23 The Chifley Tower, 2 Chifley Square, Sydney, Australia) has assigned its entire share as a limited partner in the Fund Partnership to EIF Bidco Limited ((registered No 50094) of Trafalgar Court, Les Banques, St Peter Port, Guernsey), subsequently, EIF Bidco Limited has assigned its entire share as a limited partner in the Fund Partnership to Arcus Infrastructure Holdings L.P., acting by its general partner Arcus Infrastructure GP Limited, ((registered No LP013394) of 21 Holborn Viaduct, London EC1A 2DY, United Kingdom), so that with effect from the date of this announcement, Babcock & Brown Investment Holdings Pty Ltd will cease to be a limited partner of the Partnership and Arcus Infrastructure Holdings L.P., acting by its general partner Arcus Infrastructure GP Limited, will become a limited partner in relation to the transferred share.
