That pursuant to section 381A of the Companies Act 1985, we, being all the Members of the above-named Company for the time being entitled to receive notice of and to attend and vote at General Meetings of the Company, hereby resolve as follows:

“That the Company be wound up voluntarily, that DermotBrendanCoakley and MatthewJamesChadwick, of BDO Stoy Hayward LLP, Connaught House, Alexandra Terrace, Guildford, Surrey GU1 3DA, be and are hereby appointed Joint Liquidators for the purposes of such winding-up, and are to act jointly and severally, that the Joint Liquidators be authorised under provisions of section 165(2) to exercise the powers laid down in Schedule 4, Part I, of the Insolvency Act 1986, and that the Joint Liquidators be and are hereby authorised to distribute all or part of the assets in specie to Shareholders in such proportions as they mutually agree, if appropriate.”
