At an Extraordinary General Meeting of the Members of the above-named Company, duly convened, and held at 40 Church Way, London NW1 1LW, on 6th February 2001, at 11.15 a.m., the following Extraordinary Resolution was duly passed: “That the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the Company, and accordingly that the Company be wound up voluntarily, and that Freddy Khalastchi, an insolvency practitioner, licensed by the Institute of Chartered Accountants in England & Wales, of Harris Lipman, 2 Mountview Court, 310 Friern Barnet Lane, Whetstone, London N20 0YZ, is hereby appointed as Liquidator of the Company for the purposes of the voluntary winding-up.” At the subsequent Meeting of Creditors held at Hendon Hall Hotel, Ashley Lane, Hendon, London NW4 1HF, on 19th February 2001, the voluntary liquidation was confirmed by the Creditors and the appointment of Freddy Khalastchi, of Harris Lipman, 2 Mountview Court, 310 Friern Barnet Lane, Whetstone, London N20 0YZ, as Liquidator was ratified.
