NOTICE

Notice is hereby given that Union Bank of Nigeria Plc (“UBN”), a company incorporated in Nigeria with registered number RC6262 whose registered office is at Stallion Plaza, 36 Marina, Lagos, Nigeria, and Union Bank UK plc (“UB UK”), a company incorporated in England with registered number 4661188, whose registered office is at 14-18 Copthall Avenue, London EC2R 7BN, applied to the High Court of Justice in England on 13 May 2003 and 27 July 2004, pursuant to Section 107(1) of the Financial Services and Markets Act 2000 (“FSMA”), for an Order under Section 111 FSMA sanctioning a scheme (the “Scheme”) to transfer to UB UK substantially the whole of the business carried on by UBN in the United Kingdom (the “Transferred Business”) and an Order under Section 112 FSMA for making ancillary provision for implementing the Scheme.

The proposed transfer will enable the business formerly carried on by UBN in the United Kingdom to be carried on by UB UK, a wholly owned subsidiary of UBN, and will allow continuity of management

and operations.

A copy of a summary of the Scheme and a copy of the Scheme can be obtained free of charge from Union Bank of Nigeria Plc, 14-18 Copthall Avenue, London EC2R 7BN or by making a request by telephone on telephone number 020 7920 6100 when calling from within the UK or +44 20 7920 6100 when calling from elsewhere (reference WM/MJC).

Any person (including an employee of UBN) who considers that he or she would be adversely affected by the carrying out of the Scheme is entitled to be heard by the Court pursuant to Section 110(b) FSMA.

The application will be heard at 10.30 am on 9 September 2004 in the Companies Court, Royal Courts of Justice, Strand, London WC2A 2LL.
