At a General Meeting of the Members of the above-named Company, duly convened, and held on 23 April 2024 the following Resolutions were duly passed, as a Special Resolution and as an Ordinary Resolution:

"That the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily."

"That Neil Henry and Jeremy Oddie of Lines Henry Ltd, 5 Tabley Court, Victoria Street, Altrincham, Cheshire, WA14 1EZ be hereby appointed Joint Liquidators of the Company for the purpose of the voluntary winding up and that they are licensed by the Insolvency Practitioners Association in the United Kingdom and are empowered to act jointly and severally"

By the Deemed Consent procedure pursuant to Section 246ZF of the Insolvency Act 1986 and under of Rule 6.14(2)(a) of the Insolvency (England and Wales) Rules 2016, the appointment of Jeremy P Oddie and Neil Henry was confirmed by the creditors on 23 April 2024.
